Lead Data Use and Distribution Authorization

This Consent & Authorization Disclosure (this “Disclosure”) is entered into as of January 5, 2026 (the “Effective Date”) by and between:

Originating Broker and Distributor may be referred to individually as a “Party” and collectively as the “Parties.”

1) Purpose

The purpose of this Disclosure is to confirm that Originating Broker grants Distributor permission and authorization to use, process, market, offer, and distribute certain lead data described in this Disclosure, subject to the terms and conditions herein and any related written agreement executed by the Parties.

2) Definitions

“Lead Data” means consumer inquiry/lead records generated from apartment locating and related real estate/housing interest web properties and/or associated lead capture channels operated by or sourced through Originating Broker. “Source Properties” means the apartment locating and related real estate/housing interest web properties and/or associated lead capture channels operated by or sourced through Originating Broker that generate the Lead Data. “Revenue” means all gross revenues actually received by Titan Locators from the sale or distribution of the Lead Data. “Transaction Completion Date” means the date the applicable transaction is completed and Revenue is received and confirmed by Titan Locators.

3) Description of Lead Data

The Lead Data covered by this Disclosure includes consumer inquiry/lead records generated from the Source Properties. Lead Data may include, by way of example, the following fields where collected and available: Name (first/last), email address, phone number City, state, ZIP code Housing preference fields (e.g., beds/baths, move-in timeframe, price range, pets) Qualification indicators (e.g., income range or budget signals where collected) Timestamp and internal identifiers (as applicable)

4) Consent and Authorization Granted

Originating Broker hereby expressly authorizes Distributor to do the following with the Lead Data: a) Use and Process. Use, receive, process, format, standardize, segment, deduplicate, package, store, and deliver Lead Data for operational purposes. b) Market and Offer. Market, offer, and make available the Lead Data to business customers and prospective customers of Distributor. c) Distribute to Business Customers. Distribute the Lead Data to third-party business customers under either shared or exclusive delivery models, as determined by Distributor’s commercial arrangements. d) Derivative Operational Outputs. Create derivative operational outputs such as data dictionaries, field definitions, and aggregated or anonymized samples for sales/qualification purposes, provided that: (i) such samples do not include direct contact fields (e.g., phone numbers or email addresses), and (ii) no confidential Source Properties or sourcing identifiers are disclosed publicly unless mutually agreed in writing. e) Downstream Use & FCRA Notice. Distributor may sell or deliver Lead Data to third-party businesses in non-housing verticals, provided that such use is disclosed to Buyer and governed by lawful use. Buyer is prohibited from using Lead Data as a “consumer report” or for eligibility decisions related to credit, housing, employment, or insurance. f) Suppression File Requests. Upon request, Originating Broker will provide suppression files or opt-out lists. Distributor agrees to apply such suppression data to future deliveries where applicable and operationally feasible. Non-Exclusive Authorization. This authorization is granted on a non-exclusive basis unless otherwise agreed in a separate exclusivity agreement.

5) Ownership; No Transfer

Originating Broker retains ownership of the Source Properties and any rights Originating Broker holds in the Lead Data. This Disclosure grants operational rights only and does not transfer ownership of the Source Properties. Distributor may create packaging, segmentation, and formats for lawful commercial delivery.

6) Revenue Share / Compensation (3-Day Payment Term)

Unless otherwise amended in writing, the following revenue share structure applies: Originating Broker (Timothy Malone): 30% of Revenue Titan Locators: 70% of Revenue, allocated as follows: Benjamin LaRocca: 35% Jennifer LaRocca: 35% Payment Timing: Originating Broker’s 30% share shall be paid within three (3) business days following the Transaction Completion Date. Reporting: Titan Locators will provide reasonable documentation (e.g., invoice summary) confirming transaction completion and revenue received. Adjustments/Deductions: None, unless amended in writing.

7) Authority; Ownership; Rights to Grant Consent

Originating Broker represents and warrants that: a) He has the legal right and authority to grant this Disclosure; b) He has obtained all necessary permissions and consents required for lawful data use and distribution; c) Execution of this Disclosure does not violate any agreements with third parties.

8) Compliance; Downstream Customers

Distributor will distribute Lead Data only to business customers for lawful purposes and will require downstream customers to agree to terms addressing: (i) lawful use and privacy compliance (ii) suppression/opt-out handling (iii) no misrepresentation of source intent (iv) no use of Lead Data as a consumer report or for regulated eligibility decisions Distributor is not liable for misuse by downstream clients once delivery is completed. However, Distributor will act in good faith to address flagged misuse or suppression issues.

9) Confidentiality and Source Protection

Source Properties, partner identities, and sourcing methods are confidential. Distributor will not publicly disclose Source Properties or operational sourcing identifiers without written consent, except under NDA or as required by law.

10) Data Security; Record Retention; Suppression

Distributor shall maintain reasonable administrative, technical, and physical safeguards to protect Lead Data. Distributor may retain Lead Data and related records as necessary for compliance, accounting, suppression, or dispute resolution. Originating Broker agrees to cooperate with any source-level opt-out handling when practicable.

11) Term and Termination

This Disclosure is effective on the date above and remains in effect until terminated. Either Party may terminate this Disclosure with 30 days' written notice. Termination does not affect: Revenue earned but unpaid prior to termination; Distributor’s ability to retain records as described above; Sections that survive termination, including Confidentiality, Payment, Governing Law, and Dispute Resolution.

12) Governing Law; Venue

This Disclosure is governed by the laws of the State of Texas. Any dispute shall be resolved in the state or federal courts located in Harris County, Texas.

13) Entire Agreement; Amendments; Electronic Signatures

This Disclosure constitutes the full agreement between the Parties regarding the subject matter and supersedes any prior discussion or understanding. Amendments must be in writing and signed by both Parties. Electronic signatures and counterparts are permitted and valid.
